TERMS OF SERVICE

Last updated October 2, 2026

These Terms of Service ("Terms") govern your use of Oscelo, a clinical-skills education platform in which students practice patient encounters with simulated patients and instructors author cases, rubrics, and feedback (the "Services"). The Services are provided by Brendan Beckstrom, doing business as Oscelo ("Oscelo," "we," "us," or "our"). By creating an account or otherwise using the Services, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services.

1. ELIGIBILITY

You must be at least 18 years old to use the Services. The Services are intended for students, faculty, and staff of health-professions education programs, and for individual learners and educators who create their own accounts. Institutions must not give accounts to anyone under 18.

2. ACCOUNTS

You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us promptly at brendanbeckstrom1@gmail.com if you suspect unauthorized access. If your account was provided through an institution, we may manage, suspend, or remove it at your institution's request.

3. INSTITUTIONS

If your institution has a signed agreement with us for the Services, that agreement controls wherever it conflicts with these Terms. If it does not, you accept these Terms for yourself only, not on behalf of your institution. For a public institution, the "INDEMNIFICATION" and "GOVERNING LAW" sections apply only to the extent the law governing that institution allows.

4. SIMULATED DATA ONLY

Every patient in Oscelo is fictional. You agree that you will not upload, enter, paste, transmit, or otherwise submit to the Services:

  1. real Protected Health Information (PHI) about any identifiable individual;
  2. real, identifiable personal information about any third party who is not a registered user of the Services, including the photo, voice, or likeness of a real person used to portray a patient; or
  3. any information drawn from an actual patient's medical record.

All patient cases authored, used, or generated in the Services must be fictional. The Services are for simulated clinical encounters only and must not be used to document, store, transmit, or manage the care of any real patient. We may remove content and suspend accounts that violate this section.

5. ACCEPTABLE USE

You agree not to:

6. AI-GENERATED CONTENT

The Services use artificial intelligence. Every simulated patient you talk to, and all automated feedback, is generated by AI; no human plays the patient. AI output can be inaccurate, incomplete, or inappropriate. Simulated patients and automated feedback are educational tools: they are not medical advice, they are not an assessment of anyone's clinical competence, and they must not be relied on for decisions about real patients. Instructors are responsible for how they use automated feedback in their own grading.

As between you and us, you may use the output generated for you in the Services, to the extent any rights exist in it, subject to these Terms.

7. YOUR CONTENT

You keep ownership of the content you submit to the Services, such as cases, rubrics, messages to simulated patients, recordings, and notes ("Your Content"), and we claim no ownership of it. Whether you or your institution owns content you create for a course is decided by your institution's policies, not by these Terms. Content in an institution's workspace stays there, under the institution's control, if you leave.

You grant us a non-exclusive, worldwide, royalty-free license to host, store, process, and display Your Content as needed to provide, maintain, and secure the Services, as described in our Privacy Policy. We do not use Your Content to train AI models.

You are responsible for Your Content, and you confirm that you have the rights needed to submit it.

If you send us suggestions or feedback about the Services, we may use them without any obligation to you.

8. SHARED CONTENT

Some features let you share a case to a community catalog that other Oscelo users can see. If you share content this way, you grant us and every other Oscelo user a worldwide, royalty-free, perpetual license to use, copy, and adapt it within the Services. Your name and institution are shown with what you share. If you unshare content or delete your account, the listing is removed, but copies that other users have already made stay with them.

9. STUDENT EDUCATION RECORDS

When an institution provides the Services to its students, we process student education records on the institution's behalf, as described in the section "HOW DO WE HANDLE STUDENT EDUCATION RECORDS?" of our Privacy Policy. Students should direct requests about their education records to their institution.

10. OUR PROPERTY

We and our licensors own the Services, including the software, the design, and any content we provide. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for educational purposes. All rights not expressly granted are reserved.

11. FEES, RENEWAL, AND CANCELLATION

Oscelo offers a free beta plan and may offer optional paid plans. Before you buy a paid plan, we show you its price, its billing period, and what it includes. Payments are processed by Stripe, and by subscribing you authorize us to charge the payment method you provide. Prices do not include taxes, which may be added where required.

Automatic renewal. A paid plan renews automatically at the price and billing period shown when you subscribed, and you will be charged at each renewal, until you cancel. For annual plans, we will remind you by email before each renewal. If your price changes, we will email you at least 7 and no more than 30 days before the new price applies, with instructions on how to cancel.

Cancelling. You can cancel at any time from Billing in the app, or by emailing us at brendanbeckstrom1@gmail.com. Cancellation takes effect at the end of the current billing period, and you keep access to the paid plan until then.

Refunds. Payments are non-refundable except where the law requires otherwise. If you delete your account, any subscription ends immediately and the unused time is not refunded. If we end the Services, or end your account for a reason other than your breach of these Terms, we will refund the unused part of any prepaid period.

Free and beta features may change, be limited, or be discontinued, and beta features may lose data.

12. THIRD-PARTY SERVICES

The Services rely on third-party providers, including Google Cloud (Firebase, Vertex AI, and the Gemini API) and Stripe. Features that depend on these providers may also be subject to their terms. We are not responsible for third-party services.

We respect intellectual property rights. If you believe content in the Services infringes your copyright, email us at brendanbeckstrom1@gmail.com with a notice that meets the requirements of 17 U.S.C. § 512(c)(3). We will remove infringing content and will terminate, in appropriate circumstances, the accounts of users who repeatedly infringe.

14. CHANGES TO THE SERVICES

We may change, suspend, or discontinue any part of the Services at any time. If we discontinue the Services entirely, we will give reasonable advance notice where we can.

15. TERMINATION

You may stop using the Services at any time. If you created your own account, you can delete it from your account settings; accounts provided through an institution are managed at the institution's request. We may suspend or end your access if you violate these Terms, if the law requires it, or to protect the Services or other users. Sections that by their nature should survive termination will survive, including "SHARED CONTENT," "OUR PROPERTY," "DISCLAIMERS," "LIMITATION OF LIABILITY," "INDEMNIFICATION," and "GOVERNING LAW," along with any amounts you owe.

16. DISCLAIMERS

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE. THE SERVICES DO NOT PROVIDE MEDICAL ADVICE.

17. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED U.S. DOLLARS ($100).

18. INDEMNIFICATION

You agree to indemnify and hold us harmless from any third-party claim, and the resulting losses and expenses (including reasonable attorneys' fees), arising out of your misuse of the Services, Your Content, or your violation of these Terms, except to the extent caused by our own conduct.

19. GOVERNING LAW

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in Salt Lake County, Utah, and you and we consent to their jurisdiction. Either of us may instead bring an individual claim in a small claims court that has jurisdiction. Nothing in this section limits rights you have under the consumer protection laws of the place where you live.

20. CHANGES TO THESE TERMS

We may update these Terms from time to time. If we make material changes, we will notify you by email or in the Services before they take effect. If you keep using the Services after the changes take effect, you accept the updated Terms.

21. GENERAL

These Terms, together with our Privacy Policy and any signed agreement with your institution, are the entire agreement between you and us about the Services. You agree that we may send notices to the email address on your account, and that notices sent there are received. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent. We may assign them to a company we form to operate Oscelo, or in connection with a merger, acquisition, or sale of all or part of our business.
